End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and Pricecheck Inc. ("Pricecheck," "we," "us," or "our"). This EULA governs your acquisition and use of our Pricecheck mobile application (the "App") directly from Pricecheck or indirectly through a Pricecheck authorized reseller or distributor.

Please read this EULA carefully before completing the installation process and using the App. It provides a license to use the App and contains warranty information and liability disclaimers. BY CLICKING "ACCEPT" OR INSTALLING AND/OR USING THE APP, YOU ARE CONFIRMING YOUR ACCEPTANCE OF THE APP AND AGREEING TO BECOME BOUND BY THE TERMS OF THIS EULA.

If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA, do not install or use the App.

This EULA shall apply only to the App supplied by Pricecheck herewith regardless of whether other software is referred to or described herein. The terms also apply to any Pricecheck updates, supplements, and support services for the App, unless other terms accompany those items on delivery.

1. License Grant

Pricecheck hereby grants you a personal, non-transferable, non-exclusive, revocable license to use the App on your mobile devices in accordance with the terms of this EULA. You are permitted to load the App onto a mobile device (e.g., iPhone, Android smartphone) under your control. You are responsible for ensuring your device meets the minimum requirements of the App.

2. License Restrictions

You are not permitted to:

• Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the App nor permit the whole or any part of the App to be combined with or become incorporated in any other software.
• Decompile, disassemble or reverse engineer the App or attempt to do any such things.
• Reproduce, copy, distribute, resell or otherwise use the App for any commercial purpose.
• Allow any third party to use the App on behalf of or for the benefit of any third party.
• Use the App in any way which breaches any applicable local, national or international law.

3. Intellectual Property

The App, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, the sole and exclusive property of Pricecheck. Nothing in this EULA grants you any right, title, or interest in or to any intellectual property owned by Pricecheck.

4. Your Use of the App

Your use of the App is also governed by our Website Terms of Use and Privacy Policy, which are incorporated herein by reference. By using the App, you agree to be bound by their terms. You are responsible for all activity that occurs under your account, including any fees incurred. You agree to pay all applicable fees related to your use of the Services, including any convenience fees for express checkout, which will be disclosed to you prior to the completion of a transaction.

5. Termination

This EULA is effective from the date you first use the App and shall continue until terminated. You may terminate it at any time upon written notice to Pricecheck. It will also terminate immediately if you fail to comply with any term of this EULA. Upon such termination, the licenses granted by this EULA will immediately terminate and you agree to stop all access and use of the App.

6. Disclaimer of Warranties & Limitation of Liability

THE APP IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE." PRICECHECK EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. IN NO EVENT SHALL PRICECHECK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE APP.

7. Governing Law & Dispute Resolution

This EULA is governed by the laws of the State of New York. Any disputes arising from this EULA shall be resolved through binding arbitration in New York, New York, as set forth in the Website Terms of Use.
